Terms of Service — DetailFlow

Last updated: [DATE] Effective from: [DATE]

These Terms of Service ("Terms") are a binding agreement between [LEGAL ENTITY NAME], a company incorporated in India with its registered office at [ADDRESS] ("DetailFlow", "we", "us", "our") and the person or business subscribing to the DetailFlow platform ("Customer", "Studio", "you", "your").

By creating an account, clicking "I agree", or using the Service, you accept these Terms. If you do not accept them, do not use the Service.

1. The Service

1.1. DetailFlow is a cloud-based workflow management tool for car detailing studios, providing check-in, job tracking, staff management, customer communication, invoicing helpers, and related features (the "Service").

1.2. The Service is provided over the internet on a software-as-a-service basis. No software is installed on your premises.

1.3. The Service is a workflow tool. It is not accounting software, tax filing software, legal advice, or a substitute for professional advice from a Chartered Accountant, lawyer, or other qualified professional. You are solely responsible for statutory compliance including GST filings, TDS, ESI/EPF, labour law, and consumer protection compliance for your studio.

1.4. Features may be added, changed, or removed. We will give reasonable notice of material adverse changes to paid features.

2. Beta and Early Access

2.1. Parts of the Service are marked as "beta", "preview", or "coming soon". Beta features are provided experimentally, may change or be discontinued, may contain bugs, and are excluded from any service commitments. Use them at your own risk.

3. Your Account

3.1. You must be 18 years or older and legally authorised to bind the business you register.

3.2. You are responsible for the accuracy of registration information and for keeping login credentials confidential. You are responsible for all activity under your account.

3.3. You must notify us promptly of any suspected unauthorised access.

3.4. One subscription covers one studio (one legal entity operating from one physical location, or multiple locations if included in your plan). Sharing credentials across unrelated businesses is not permitted.

4. Acceptable Use

4.1. You will not:

  • (a) upload data you do not have the right to upload, including personal data of customers or staff without lawful basis;
  • (b) send unsolicited marketing, spam, or messages that violate TRAI regulations or Meta / WhatsApp platform policies;
  • (c) upload malware, illegal content, or content that infringes third-party rights;
  • (d) reverse-engineer, decompile, or attempt to derive source code;
  • (e) resell, sublicense, or provide the Service to third parties as your own product;
  • (f) circumvent usage limits, rate limits, or security controls;
  • (g) use the Service to compete with us or to build a competing product;
  • (h) impersonate another person or misrepresent your affiliation.

4.2. We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

5. Customer Data

5.1. You retain all rights in the data you upload (customer records, job data, photos, invoices, etc.) ("Customer Data").

5.2. You grant us a limited, non-exclusive, worldwide licence to host, process, transmit, back up, and display Customer Data solely to provide, secure, and improve the Service.

5.3. You are the Data Fiduciary (as defined under the Digital Personal Data Protection Act, 2023) in respect of end-customer and staff personal data. DetailFlow acts as a Data Processor on your behalf. You are responsible for:

  • (a) obtaining valid consent from your end customers and staff before entering their personal data;
  • (b) providing lawful notice at the point of collection;
  • (c) responding to Data Principal rights requests (access, correction, erasure, grievance);
  • (d) ensuring you have consent to send WhatsApp or other messages;
  • (e) statutory retention and deletion obligations.

5.4. Our Privacy Policy and Data Processing Addendum describe how we handle Customer Data.

6. Fees, Billing, and Taxes

6.1. Subscription fees are as displayed at the time of purchase and are billed in advance on a monthly or annual basis.

6.2. All fees are exclusive of GST, which will be charged at the applicable Indian GST rate and reflected on your tax invoice.

6.3. Fees are non-refundable except as expressly set out in our Refund Policy.

6.4. We may change prices with at least 30 days' notice. Price changes take effect at the next renewal.

6.5. If a payment fails or is not made within 7 days of invoice, we may suspend access. Data will be retained for 30 days after suspension, after which it may be permanently deleted.

7. Payments Processed Through the Service

7.1. If you use payment features (UPI links, invoice sharing) to receive payments from your end customers, those payments flow directly between you and your end customer via a third-party payment aggregator (e.g., Razorpay). DetailFlow is not a party to those payments, does not hold funds, is not a payment aggregator, and is not responsible for chargebacks, disputes, refunds, or reconciliation of those payments.

8. Third-Party Services

8.1. The Service integrates with third parties (Supabase, Vercel, WhatsApp Business, Razorpay, etc.). Their availability and terms are outside our control. We are not liable for failures, changes, or outages of third-party services.

9. Intellectual Property

9.1. The Service, including all software, design, trademarks, and content (excluding Customer Data), is owned by DetailFlow and its licensors. No rights are granted except the limited right to use the Service under these Terms.

9.2. Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

10. Disclaimers

10.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation, to the maximum extent permitted by law.

10.2. We do not warrant that the Service will meet your requirements, be free from errors or bugs, be uninterrupted, be secure against every threat, or that data will never be lost or corrupted.

10.3. Estimated timings, badges, availability indicators, and other operational cues shown in the Service are informational only and are not guarantees.

11. Limitation of Liability

11.1. To the maximum extent permitted by applicable law:

  • (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, including loss of profits, loss of revenue, loss of goodwill, loss of data, loss of business opportunity, or reputational harm, even if advised of the possibility.
  • (b) OUR AGGREGATE LIABILITY arising out of or relating to the Service or these Terms is capped at the fees actually paid by you to us in the three (3) months immediately preceding the event giving rise to the claim, or ₹10,000, whichever is lower.

11.2. These limitations apply regardless of the form of action (contract, tort, statute, or otherwise) and even if a limited remedy fails of its essential purpose. They do not exclude liability that cannot be excluded under Indian law (e.g., fraud, willful misconduct, or death/personal injury caused by negligence).

12. Indemnity

12.1. You will defend, indemnify, and hold harmless DetailFlow, its founders, employees, and contractors from and against any third-party claim, loss, or expense (including reasonable legal fees) arising out of or relating to:

  • (a) Customer Data you uploaded, including any claim it was unlawful, infringing, or processed without consent;
  • (b) your breach of these Terms or Acceptable Use;
  • (c) disputes between you and your end customers, your staff, your contractors, or the tax/labour authorities;
  • (d) statutory non-compliance by your studio (GST, TDS, labour law, consumer law, etc.);
  • (e) messages you sent to your customers through the Service.

13. Suspension and Termination

13.1. Either party may terminate for convenience at the end of the then-current billing cycle by giving notice via email or in-app.

13.2. We may suspend or terminate immediately for material breach, non-payment (see 6.5), or where required by law.

13.3. On termination, your access ends and Customer Data will be retained for 30 days to allow export, after which it may be permanently deleted. No pro-rata refund is due for termination for cause.

14. Confidentiality

14.1. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is publicly known, independently developed, or lawfully received from a third party.

15. Force Majeure

15.1. Neither party is liable for delay or failure caused by events beyond reasonable control, including internet or cloud infrastructure outages, natural disasters, pandemic, war, government action, or strike.

16. Changes to These Terms

16.1. We may update these Terms. Material changes will be notified by email or in-app at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

17. Governing Law and Dispute Resolution

17.1. These Terms are governed by the laws of India.

17.2. Arbitration. Any dispute arising out of or in connection with these Terms will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties (or, failing agreement, appointed under the Act). The seat and venue of arbitration will be [CITY, e.g., Bengaluru]. The language will be English. The award will be final and binding.

17.3. Subject to arbitration, the courts at [CITY] have exclusive jurisdiction over any residual matter.
